Cybersecurity Firm WISeKey Relocates Legal Base to BVI

Swiss technology company completes redomiciliation, keeping operations in Geneva but moving corporate incorporation to the British Virgin Islands.

A publicly traded Swiss technology firm has finalized its shift to incorporate in the British Virgin Islands, marking another addition to the Territory's roster of internationally listed companies.

WISeKey International Holding Ltd., which specializes in cybersecurity, digital identity and Internet of Things technology, will complete its redomiciliation on October 2, 2026. The company will merge into WISeQey Corp., its wholly owned BVI subsidiary, which will then become the group's publicly traded parent company.

Shareholders voted to approve the move at an extraordinary general meeting held on September 9. Trading of the company's current Nasdaq and SIX Swiss Exchange listings will end on October 2, with new WISeQey shares expected to begin trading under the ticker WQEY on both exchanges on or about October 5, with SIX as the primary listing.

The redomiciliation is a change in legal structure only. WISeKey's operational headquarters, workforce and engineering operations will remain in Switzerland, and the company will maintain its tax residence in Geneva. The company's underlying business and global operations will continue unchanged.

WISeKey announced its intention to move to the BVI in November 2025, citing the Territory's corporate legal framework and the flexibility it would provide for accessing capital markets in the United States and Switzerland and pursuing future acquisitions. The company also noted that a BVI structure would align it with other international technology firms already using the jurisdiction.

Chairman and CEO Carlos Moreira said the redomiciliation represents the company's next phase of international development, providing greater flexibility while maintaining operational continuity in Switzerland.

WISeKey's technology spans cybersecurity, digital identity, secure semiconductors, trusted communications, IoT and post-quantum security. The company reports that more than 1.6 billion microchips have been deployed across various IoT sectors. Following the redomiciliation, the company will operate under the name WISeQey, with the "Q" reflecting its expansion into quantum security.

For the BVI, the transaction adds a high-technology company to its corporate environment while generating ongoing work for the Territory's financial and professional services providers. BVI Finance reports the international business and finance centre directly employs approximately 2,200 people and supports another 3,000 jobs, generating approximately US$330 million in gross value added. The Territory is home to corporate structures for more than 140 major companies listed on the London, New York or Hong Kong stock exchanges.
